   • Webxxs is not liable for any issues resulting from the client’s failure to manage the site properly.

4. Third-Party Integrations

   • Webxxs is not responsible for disruptions, errors, or security risks caused by third-party services (e.g., payment gateways or plugins).

   • Risks and terms for these services are governed by their respective providers.

5. Limitation of Liability

   • Webxxs is not liable for revenue loss, data breaches, downtime, or indirect damages after handover.

   • Liability during the project phase is capped at the amount paid by the client for the specific project.

6. Indemnity

   • Clients agree to indemnify Webxxs and its team from any claims or damages arising from website use, including legal disputes or non-compliance.

7. Ownership of Deliverables

   • Ownership of the website and deliverables transfers to the client upon final payment.

   • Webxxs retains ownership of intellectual property (e.g., custom code) until full payment is received.

8. Governing Law

Terms & Conditions - The Basics 

Terms and Conditions for Webxxs

These Terms and Conditions govern the services provided by Webxxs ("we," "us," or "our"), a website design and development business, to clients ("you" or "your"). By engaging our services, you agree to these terms.

1. Services

​

• Webxxs provides website design, development, and e-commerce integration services as outlined in an agreed project proposal or contract.

• Any additional work outside the agreed scope will be charged separately and may require a revised agreement.

2. Project Process

​

• A detailed project brief must be provided by you to ensure accurate deliverables.

• We will work according to the timelines and milestones outlined in the project proposal. Delays in providing necessary materials, feedback, or approvals may impact the project timeline.

3. Payment Terms

​

• A 50% deposit is required upfront to start the project.

• The remaining 50% is due upon project completion, prior to the website’s handover.

• Additional work outside the agreed scope is charged at a day rate of £120 unless otherwise agreed in writing.

• Payments must be made within 14 days of invoice issuance. Late payments may incur additional charges.

4. Handover and Ownership

• Upon receipt of final payment, ownership of the website design and deliverables transfers to you.

• Webxxs retains the right to use completed projects in our portfolio and marketing materials unless otherwise agreed.

5. Client Responsibilities

​

• You are responsible for providing accurate content, images, and materials for your website.

• After handover, you are responsible for the website’s maintenance, including updates, security, and compliance with applicable laws (e.g., GDPR).

• Web X is not liable for any issues resulting from the improper management or use of the website post-handover.

6. Revisions

​

• The project includes [two] rounds of revisions within reason as outlined in the agreement. Additional revisions will be billed at the standard hourly or daily rate.

7. Third-Party Services

​

• Webxxs may integrate third-party services, such as plugins or payment gateways, as part of your project.

• We are not responsible for the performance, functionality, or security of third-party services.

8. Limitation of Liability

​

• Webxxs provides services "as-is" and is not liable for any losses, damages, or downtime after handover.

• Our liability during the project phase is limited to the amount you paid for the specific project.

9. Cancellation Policy

​

• If you choose to cancel the project after work has started, you will forfeit the deposit.

• If Webxxs cancels the project due to unforeseen circumstances, we will refund the deposit, minus work already completed.

10. Governing Law

​

• These terms are governed by the laws of England and Wales. Disputes shall be resolved exclusively in the courts of England and Wales.

11. Amendments

• Webxxs reserves the right to update these Terms and Conditions at any time. Updated terms will be communicated to clients and posted on our website.
